INTRODUCTION

Wick Trade LLC (“Wick”, “Company” or “we”) welcomes you to use our website wick.trade and the Wick mobile application (together, the “Service”). These Terms of Use (“Terms”) describe the terms and conditions that govern your use of or access to our Service. The Terms constitute an agreement between you and us, so please read these Terms carefully.

By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and the other rules provided with the Service, whether or not you are a registered user of our Service. If you do not accept or understand the Terms, please do not use or access the Service.

Changes to the Terms

The Terms can be updated from time to time. Please check back periodically for the latest version of the Terms. If there are any significant changes made to the Terms, we will notify you. Your use of the Service following any changes to these Terms constitutes your acceptance of any such changes.

1. YOUR USE OF THE SERVICE

1.1 Eligibility

You must be at least 17 years old to access, use, or register with the Service.

1.2 Your Account and Your Information

You do not have to create an account to access the Service. But you may need to register with the Service to use certain functions or access advanced features of the Service.

You must protect any passwords or other credentials associated with your account in the Service and take full responsibility for any use of the account under your password. You agree to notify us of any breach of security or unauthorized use of your account.

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the Service.

1.3 License to Use the Service

We grant you a limited, non-exclusive, non-transferable, non-assignable license to access and make personal and non-commercial use of the downloadable software included in the Service. You are not allowed to resell or commercially use any part of the Service or its contents and materials.

1.4 Wick Software Wallet

Use of the Software is governed by these Terms. If you access the Wallet during an alpha or beta testing period, you acknowledge and agree that the Software may contain bugs, defects and errors and that the Software is not expected to function fully upon installation. Wick delivers the Wallet via download and Wick will not provide you with any tangible copy of the Wallet. Subject to your compliance with the Terms, Wick grants you a non-assignable, non-transferable, non-sublicensable, revocable, and non-exclusive license to use the Wallet on devices you own or control solely for your personal or internal business purposes. Because the Wallet is locally installed, you are responsible for the security of the device on which it is installed, including ensuring that you keep anti-virus software for the Wallet current and otherwise protect the device on which the Wallet is installed against malware. Wick is not responsible for any loss or damages – including loss of funds or lockout from accounts accessed via the Wallet – resulting from your failure to keep the device on which the Wallet is installed safe and free of any malware. Wick cannot recover passwords or unlock account information stored on the Wallet in any circumstances, including if the Wallet is compromised by malware on your device, and it is your sole responsibility to take all reasonable precautions to secure and backup your copy of the Wallet and the information stored on it.

2. USER CONTENT

You own all data, information, photos, text, and other materials that you upload, post, provide, develop, operate, or display in the Service (“User Content”). You agree that your User Content will not violate any applicable law or any third-party rights.

We do not take any ownership rights in the User Content. But you grant us a non-exclusive, assignable, royalty-free, perpetual, non-revocable, worldwide license to use, copy, modify, reproduce, store, display, publish, and distribute the User Content, including for the purpose of promoting the Service. This license will last for a period that is commercially reasonable for us to use the User Content.

3. PROHIBITED ACTIVITIES

The following restrictions apply to your use of the Service. You are not allowed to:

  • copy, alter, modify, display, or otherwise create derivative works of the Service;
  • disassemble, decompile, reverse-engineer, or derive the source code of the Service;
  • interfere with or disrupt the Service;
  • transmit viruses, malware, or other malicious software;
  • attempt to gain unauthorized access to the Service;
  • sell, rent, transfer, or otherwise assign any rights to the Service to any third party;
  • make access to your account available to multiple users;
  • upload, post, or transmit any content which is defamatory, fraudulent, false, harassing, harmful to reputation, or infringing the privacy rights of any other person;
  • upload, post, or transmit any content which is abusive, pornographic, indecent, profane, obscene, hateful, libelous, illegal, or violative of third-party rights; or
  • access or use the Service in violation of any applicable local or international laws.

We reserve our right to remove from the Service any content that violates these restrictions or to suspend or terminate your account for violation of these Terms.

4. FEES AND PAYMENT

Certain features of the Service may be provided on the basis of a paid subscription (“Paid Plan”). If you purchase access to a Paid Plan, you agree to pay a fee on a monthly basis or at some other recurring interval.

You agree to pay the fees by credit card or another payment method accepted on the Service. If you purchase a Paid Plan, we may charge you on a recurring basis until you cancel your Paid Plan. You may cancel your Paid Plan at any time; however, all fees are non-refundable. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free version of the Service.

We may add new features for additional fees or change pricing at any time. We will communicate any price changes to you in advance. By accessing or using the Service, you agree to the new pricing.

5. INTELLECTUAL PROPERTY

All rights, including any copyright, patent, trade secret, or other intellectual property rights in the Service, will remain our sole property.

6. COPYRIGHT COMPLAINT

If you believe that your copyrights have been infringed in any way, please send us a complaint at support@wick.trade with “Copyright” in the subject line.

7. UPDATES TO THE SERVICE

We may issue updates or upgrades to the Service and disable access to the Service for any period of time or permanently. The Service is subject to scheduled and unscheduled service interruptions.

You consent to automatic updates or upgrades of the version of the Service that you are using on your device to a new version.

You agree that we will not be liable to you for any interruption of the Service.

8. PRIVACY

Our Privacy Policy (https://wick.trade/privacy) explains how we collect, use, and protect your personal data.

When you collect or transmit any personal data through the Service, you must follow all laws and obtain all permissions from each data source to transmit such data through the Services. You agree not to:

  • use a username that is the name of another person with the intent of impersonating that person;
  • provide any false personal data to us or create any user account for anyone other than yourself without such person’s permission;
  • engage in unauthorized collection of users’ information or access the Service by automated means, including bots or scrapers; or
  • reveal any personal data related to another user, including address, phone number, email, credit card number, or any information that may otherwise identify another user.

9. GENERAL TERMS

9.1 Links to Third-Party Websites

The Service may contain links to websites owned by third parties. Such links are provided for informational purposes only. We are not responsible for any third-party websites or their content.

10. DISCLAIMER OF WARRANTIES

10.1 As Is

THE WALLET, SITE, SERVICES, AND ANY INFORMATION DISPLAYED THEREIN ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH NO REPRESENTATION OR WARRANTY THAT IT IS FREE OF ALL FAULTS, AND WICK EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE, SERVICES, SOFTWARE, OR ANY INFORMATION DISPLAYED THEREIN, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT, TO THE EXTENT ALLOWED BY APPLICABLE LAW, ALL RISK OF USE OF THE SITE, SERVICES, AND WALLET RESTS ENTIRELY WITH YOU.

10.2 Beta Releases

From time to time Wick may offer new “Beta” features or tools with which its users may experiment. Such features or tools are offered solely for experimental purposes, without any warranty of any kind, and may be modified or discontinued at Wick’s sole discretion.

10.3 Third Party Conduct

Wick is not liable, and you agree not to seek to hold Wick liable, for the conduct of third-parties on or accessed via the Wallet, Site or Services, including the use of third-party API providers’ software and or services. The risk of injury from use of such third-party software and services rests entirely with you.

11. LIMITATION OF LIABILITY

11.1 Disclaimer

IN NO EVENT WILL WICK BE LIABLE FOR ANY LOST PROFITS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER OR NOT WICK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY ASSERTED. IN ADDITION, WE DO NOT REPRESENT OR WARRANT THAT THE CONTENT ACCESSIBLE VIA THE SERVICES IS ACCURATE, COMPLETE, AVAILABLE, CURRENT, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS. WE DO NOT MAKE ANY REPRESENTATIONS OR GIVE WARRANTIES THAT THE ACCESS TO THE WALLET OR USE OF THE SERVICES AND THE FUNCTIONALITY THEREOF WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY OR ERROR-FREE. You acknowledge and agree that we have no control over, and no duty to take any action regarding: (i) failures, disruptions, errors, or delays in the processing of Digital Assets that you may experience while using the Services; (ii) the risk of failure of hardware, software, and Internet connections; (iii) the risk of malicious software being introduced or found in the software underlying the Wallet; (iv) the risk that third parties may obtain unauthorized access to information stored within your wallet, including, but not limited to your wallet address, private key, and Secret Phrase; and (v) the risk of unknown vulnerabilities in or unanticipated changes to the applicable blockchain networks. You release us from all liability related to any losses, damages, or claims arising from: (a) user error such as forgotten passwords, incorrectly constructed transactions, or mistyped Digital Asset addresses; (b) server failure or data loss; (c) unauthorized access to the Wallet application; (d) bugs or other errors in the Wallet software; and (e) any unauthorized third party activities, including, but not limited to, the use of viruses, phishing, brute forcing, or other means of attack against the Wallet. We make no representations concerning any third party content or services contained in or accessed through our Services. Any other terms, conditions, warranties, or representations associated with such content, are solely between you and such organizations and/or individuals.

11.2 Cap on Liability

UNDER NO CIRCUMSTANCES WILL WICK BE LIABLE TO YOU FOR DAMAGES ARISING OUT OF THE USE OF OUR SOFTWARE, SITE, OR SERVICES EXCEEDING ONE HUNDRED DOLLARS ($100.00).

11.3 Exceptions

The limitations in Sections 11.1 and 11.2 will not apply to damages caused by the fraud, gross negligence, or willful misconduct of Wick, or to the extent such limitations are precluded by applicable law (in which case Wick’s liability will be increased to the minimum amount required to comply with such law).

12. INDEMNITY

You agree to defend, indemnify, and hold us harmless from any claim, losses, obligations, damages, or expenses arising from your use of or access to the Service, your breach of these Terms, or your violation of any law or the rights of a third party. This term will continue to be effective even if you have stopped using the Service.

12.1 Governing Law and Resolution of Disputes

All claims relating to these Terms or the Service will be governed by the law of Wyoming, USA, excluding its conflict-of-laws rules. Any claim will be resolved by the American Arbitration Association.

You agree that any cause of action arising out of or related to the Service must commence within 1 year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

13. TERM AND TERMINATION

You may stop using the Service or delete your account at any time.

We reserve the right to discontinue the Service at any time without notice. We may also terminate or suspend your access to the Service without notice if (a) you violate these Terms or (b) we are required to do so to comply with a legal requirement or court order.
